TERMS AND CONDITIONS
SPECIAL CONDITION of SALE: This property is being sold pursuant to an Order of the United States Bankruptcy Court in the Case of Morvatt Enterprises, LLC, Case no. 23-40488—crm, dated November 13, 2025, authorizing Herron Auction and Realty Inc. to sell the following to the highest bidder regardless of price fee and clear of liens.
Real Estate Deposit: Purchaser(s) shall pay 10% of the total contract purchase price as a down payment at the conclusion of bidding at auction. The balance is due with delivery of the deed on or before March 31st, 2026. A ten percent (10%) auction buyer’s premium shall be in effect for the Auction and added to the amount of the highest bid to arrive at the selling price for the Property(s). (“total contract purchase price”).
Evidence of Title: The Buyer(s) will be responsible for any fees associated with the owner’s title insurance policy if one is desired. Seller agrees to provide merchantable title to the property free and clear of any liens, subject to matters of record, general conditions of title and similar related matters and the approval of the United States Bankruptcy Court in the Case of Morvatt Enterprises, LLC, Case no. 23-40488—crm. All tracts are sold “AS IS WHERE IS WITH NO EXPRESSED OR IMPLIED WARRANTIES”
Real Estate Taxes: The property taxes shall be prorated to date of closing
Closing: Closing(s) shall occur on or before March 31st, 2026. Auctioneer is acting exclusively as an agent for Seller and not as an agent for any Bidder or Buyer. Normal and Customary closing fees will be the expense of the Buyer(s). Auctioneer/Broker is not to be considered the closing title agent.
Possession: Possession shall be granted to the successful bidder(s) at closing(s).
Mineral Rights: All Mineral Rights owned by the seller, if any, are included in the sale.
Property: The Property(s) is described in the Property Information Packet, a copy of which is available from Auctioneer and posted at the Auction. All tract acreages and boundaries shown in marketing are approximate and have been based off of legal descriptions, tax records, aerial maps and other documents. Photos may be stock or not current, and Maps are referenced for informational purposes only and not to be considered a survey.
Due Diligence: The information contained herein is provided by Seller and sourced from public records and believed to be accurate but subject to verification by all parties relying on it. Neither Seller nor Auctioneers guarantees, represents, or warrants its accuracy or completeness and Bidder should not rely upon it without independent inspection and verification from sources Bidder knows to be reliable. Seller and Auctioneer are not required to update any information provided or publish and shall have no liability on any basis for failing to do so. Bidder should obtain their own professional advice and conduct due diligence on the Property(s).
Registration and Participation: By registering or bidding, Bidder acknowledges receipt of the Terms of Auction and access to the Sale Contract and unconditionally and irrevocably agrees to be bound by both. Registration is required to bid onsite or online. There is no fee to register. Requirements for Bidder registration may be waived by Auctioneer with respect to any Bidder, without waiving same for any other Bidder. Seller and Auctioneer reserve the right to preclude any person from the bidding if there is any question, in the sole judgment of the Seller and Auctioneers, as to such person’s creditworthiness, ability or willingness to close on the purchase of the property, credentials, fitness, etc. Bidder shall not retract any bid.
Contract: This is a cash sale and not contingent upon any matter, including Buyer obtaining financing. Real Estate Deposit is nonrefundable. Buyer(s) shall immediately execute the Sale Contract and all related documents presented by Auctioneer to bind Bidder and Seller to the sale of the Property. Online bidders will be given one eight-hour business day to execute the Sale Contract(s). The Terms of Auction are incorporated into the Sale Contract(s) which defines the entire agreement between Seller and Buyer. The Terms of Auction compliment the Sale Contract(s) and, in the event of any conflict between them, the Sale Contract(s) shall control in all instances. Buyer(s) shall execute the Sale Contract(s) and no addition, deletion, or revision shall be permitted.
